Terms and Conditions for Ordinary Membership of Australian Sustainable Seaweed Alliance Ltd (‘ASSA’).

ORDINARY MEMBERSHIP CATEGORIES
1. The Ordinary membership of ASSA shall consist of two ordinary membership categories:
i. Ordinary Corporate Members – defined as seaweed producers, product manufacturers or companies that are actively involved in commercial production or the development of seaweed production or products. Ordinary Corporate Members must be registered in Australia.
ii. Ordinary Affiliated Members who shall be individuals or parties with an interest in the industry.
2. Ordinary Corporate Members will be invited to participate in industry workshops to provide input to the R&D agenda and R&D priorities for the industry. Each member shall only be allowed one authorised spokesperson in these meetings although other authorised representatives of the company may also be in attendance.
ORDINARY MEMBERSHIP APPLICATION
3. An application for Corporate membership must be:
i. In writing via the online form provided on seaweedalliance.org.au website.
4. An application for Affiliated membership must be:
i. Made on line; and
ii. Paid in full upfront.
MEMBERSHIP FEES
5. The membership fees for each class of membership shall be determined by the Board each year.
ADMISSION AND REJECTION OF MEMBERS
6. Admission and rejection of Corporate Members
i. At the next meeting of the Board after the receipt of any application for Corporate membership, such application shall be considered by the Board, who shall thereupon determine the admission or rejection of the applicant.
ii. Any applicant who receives a majority of the votes of the members of the Board present at the meeting at which such application is being considered shall be accepted as a member to the class of membership applied for.
iii. Upon the acceptance or rejection of an application for any class of membership the Secretary shall forthwith give the applicant notice in writing of such acceptance or rejection.
7. Affiliate Members shall be admitted on payment in full.
TERMINATION OF MEMBERSHIP
8. A member may resign from ASSA at any time by giving notice in writing to the secretary of ASSA. No refunds will be provided for resignations.
9. The resignation takes effect at –
i. The time the notice is received; or
ii. If a later time is stated in the notice – the later time.
10. The Board may terminate a member’s membership if the member –
i. Is convicted of an indictable offence; or
ii. Does not comply with any of the provisions of these Membership Terms and Conditions; or
iii. Has membership fees in arrears; or
iv. Conducts himself or herself in a way considered to be injurious or prejudicial to the character or interests of ASSA.
11. Before the Board terminates a member’s membership, the committee must give the member a full and fair opportunity in writing to show why the membership should not be terminated.
12. If, after considering all representations made by the member, the Board decides to terminate the membership, the Secretary of the committee must give the member a written notice of the decision.
13. Where a membership is terminated, there shall be no refund and any arrears remain due. Reapplication for membership may be considered after one calendar year.
REGISTER OF MEMBERS AND PRIVACY OF MEMBER INFORMATION
14. A register of members will be kept including the names and addresses of all businesses and individuals admitted to membership, the dates of their admission and classes of membership.
15. Information provided by members who join ASSA will be used for the purposes of engaging with ASSA members and not for any other reason.
